Experience
Mr. Harrison joined Hanify & King, P.C. in 1999 after developing extensive experience at two other Boston law firms. He advises clients on acquisitions of businesses and real estate, commercial loan transactions, leasing, and general business matters. For several years, Mr. Harrison counseled a de novo Boston bank, serving as Corporate Clerk and advising bank personnel on daily operational issues. He served as a surface warfare officer on two ships in the United States Navy, and in the Naval Reserve with a concentration on commercial shipping. Mr. Harrison is a Commander, United States Naval Reserve, retired.
Representative Engagements
- Counsel to an environmental consulting firm and its investor group in their purchase of the assets of an industrial wastewater treatment facility. Established a limited liability company, drafted purchase documents and related contracts, negotiated a long term lease with purchase option, and advised client regarding bank and private equity financing.
- Counsel to national real estate management and development firm on corporate matters related to the purchase, sale, and refinance of commercial real estate. Reviewed corporate, limited partnership, and limited liability company documents and made revisions required by various transactions. Preparation of commercial real estate documents including purchase and sale agreements, assignment and assumption agreements, and required opinion letters.
- Advised nation’s largest petroleum lubricants distribution company in acquisitions of regional lubricant distributors’ businesses or assets. Negotiated purchase documents, leases, and related agreements.
- Counsel to Massachusetts real estate development company regarding financing and construction of a 25-unit resort condominium in New Hampshire. Advised company regarding documentation of construction financing and multi-million dollar note receivable loan.
- Advised Massachusetts hospitality corporation on the acquisition of the assets of a restaurant chain through a bankruptcy sale, including ten locations in seven states. Negotiated asset purchase documents, assignment and assumption agreements, reviewed leases, resolved issues with landlords and managed co-counsel on licensing issues.
- Counsel to a regional savings bank in various matters including vendor contracts, real estate acquisitions, branch leasing and ATM locations.
- Counsel to Massachusetts corporation in the charter aviation industry. Created Delaware corporation, merged existing limited liability company and Massachusetts corporation into Delaware corporation, advised client through two rounds of venture capital funding, acquisition of industry related subsidiary, and ongoing corporate maintenance (employment agreements, contracts, etc.).
- Counsel to client in purchase of nationwide seafood business. Created corporate entities, drafted purchase agreements and employment agreements, reviewed leases and licensing agreements, and provided ongoing advice. Advised company on multi-million dollar line of credit facility.
