Experience
Mr. Richer is a senior member of the Business and Real Estate Group at Hanify & King. He serves a variety of clients including manufacturers, banking institutions, real estate developers, not-for-profit organizations, and professional service firms. His practice includes commercial loan transactions, asset and stock purchases and sales, capital restructuring, employment, licensing, and distribution arrangements.
Before joining Hanify & King, Mr. Richer worked as an accountant in the Audit Division of the Boston office of Ernst & Whinney, now known as Ernst & Young, LLP. He became a Certified Public Accountant in Massachusetts in 1985. His practice includes advising clients with respect to tax and financial aspects of transactions.
Representative Engagements
- Represented a diversified company in connection with the sale of the domestic and foreign assets of one of its divisions.
- Represented a privately-held corporation and its stockholders in connection with a stock sale to a public company.
- Represented an institutional lender in connection with construction and permanent financing of a large commercial office building by a joint venture of a local developer and a national REIT.
- Represented an institutional lender in connection with construction and permanent financing of a phased upscale condominium development adjacent to a nationally-known golf course.
- Represented the investors and buyers of multiple office buildings in the 128 and 495 corridors of Massachusetts.
- Represented a national company in the acquisition of the assets and business of a North Carolina research and testing facility.
- Represented the owner of telecommunications and radio companies in the negotiation and documentation of equity participation plans involving key employees.
- Represented the majority owner of a privately-held company in securing the purchase of all minority interests.
- Represented a minority owner of a family business in the sale of that interest and the negotiation of forward payments.
